What is an SOI—and why it matters

Your SOI updates the Secretary of State with your company’s owners/managers and contact details. Corporations file each year; LLCs every two years. If it isn’t filed, the Franchise Tax Board can assess penalties and the Secretary of State can suspend or forfeit the business. Even if you’re not actively operating, the SOI is required until the entity is formally terminated.

Many owners list their residence on state records. That can mean:

  • Public exposure of your home address on state sites and search engines
  • Unwanted visits or junk mail at your residence
  • Service of legal documents at home, sometimes in front of family or neighbors

A simple fix: use a professional business address and a Registered Agent (Agent for Service of Process) to keep your home private and your business compliant.
